Parent of Vosta disposes of Indonesian associate company for S$4.9 mil

The 5,218-bhp anchor-handler Hafar Jupiter (built 2015) is one of three offshore vessels in the Hafar Capitol Nusantara fleet.

Based on ASL Marine’s 9MFY2025 results, the disposal will result in a loss of $2.6 million, not including fees and costs incurred.

ASL Marine Holdings has disposed of its entire stake in PT. Hafar Capitol Nusantara for IDR62.3 trillion ($4.9 million).

A ratified share purchase agreement for the disposal was signed by ASL Marine’s 75%-owned subsidiary, PT. Cipta Nusantara Abadi with purchaser PT. Hafar Daya Samudera. PT. Hafar Capitol Nusantara is a 49%-owned associate of PT. Cipta Nusantara Abadi.

PT. Hafar Capitol Nusantara is a private company incorporated in Indonesia on June 16, 2011 with a registered capital of IDR10.67 trillion. The company is primarily in the business of chartering vessels.

According to ASL Marine, the disposal is part of the group’s on-going rationalisation of its non-core assets and financial optimisation. The board believes that the disposal will help the group streamline its structure and focus its resources on its core businesses.

Based on ASL’s latest financial statements for the 9MFY2025 ended March 31, the book value and net tangible assets (NTA) value of the shares disposed was US$5.7 million ($7.6 million). There is no open market value for the stake disposed as the shares are not publicly traded.

The disposal is expected to result in an excess of US$1.9 million of the book value over the proceeds of the disposal shares.

The net profit attributable to the shares disposed is US$1.8 million for the 9MFY2025.

The net asset value (NAV) of the assets to be disposed of is about 7.2% of the group’s total NAV of $105.6 million as at March 31. The net profit attributable to the assets disposed of is at 17.2% compared to the group’s 9MFY2025 net profit of $14.4 million.

Based on ASL Marine’s 9MFY2025 results, the disposal will result in a loss of $2.6 million, not including fees and costs incurred.

The group intends to use the proceeds for its working capital requirements.

On a pro forma basis, had the disposal been completed on June 30, 2024, ASL Marine’s NTA per share would have risen to 10.29 cents from 10.25 cents originally. Assuming the disposal was completed on July 1, 2023, ASL Marine’s earnings per share (EPS) would have risen to 0.69 cents from 0.58 cents.

Upon the completion of the disposal, PT. Hafar Capitol Nusantara will no longer be an associate of ASL Marine.

Shares in ASL Marine closed 0.1 cent lower or 1.7% down at 5.8 cents on June 27.
